1. Acceptance of Terms
By accessing or using Arcten's services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services. Arcten, Inc. ("we," "our," or "us") reserves the right to modify these Terms at any time.
2. Use of Service
You may use our services only as permitted by law and these Terms. You agree not to:
- Use our services for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to our systems or networks
- Interfere with or disrupt the integrity or performance of our services
- Reverse engineer, decompile, or disassemble any portion of our services
- Use our services to develop competing products or services
- Remove or obscure any proprietary notices from our services
3. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Intellectual Property
Our services and all related content, features, and functionality are owned by Arcten, Inc. and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use our services for your internal business purposes.
You retain all rights to your data and content. By using our services, you grant us a limited license to process your data solely to provide our services to you.
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCTEN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability for any claims arising out of or related to these Terms or our services shall not exceed the amount you paid us in the twelve (12) months prior to the event giving rise to the liability.
6. Service Level Agreement
We strive to provide reliable services with the following uptime targets:
- Developer: 99.5% monthly uptime
- Growth: 99.9% monthly uptime
- Enterprise: Custom SLA per agreement
Uptime excludes scheduled maintenance windows and events beyond our reasonable control.
7. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the state or federal courts located in San Francisco County, California.
